1. Scope and acceptance

These Terms of Access govern your registration for, and use of, the J HOMES trade portal at hzjhomes.com (the "Portal"). By requesting an account, or by signing in and using the Portal, you agree to these Terms on behalf of the business you represent and confirm that you are authorised to do so. If you do not agree, you must not use the Portal.

These Terms govern access to the Portal only. They do not govern the sale of goods; any purchase is subject to a separate written quotation, order confirmation and our terms of sale.

2. Who may open an account

Accounts are granted only to businesses engaged in the resale or professional use of home decoration products. The Portal is not intended for consumers. J HOMES reviews every application and may approve, refuse, suspend or withdraw access at its sole discretion, and may request a VAT or company registration number, a trade licence or other evidence of your business.

You undertake that the information you provide on registration is accurate and up to date, and to correct it if it changes. Each account is personal to the individual named on it: it must not be shared with, transferred to or used by any other person, including colleagues within your own company, who must apply for their own account. You are responsible for keeping your password confidential and for all activity carried out under your account, and must notify us immediately at sales@hzjhomes.com if you believe it has been accessed by anyone else.

3. Portal content is for information only

The Portal presents our product range for evaluation purposes only. It displays no prices and constitutes neither an offer, a quotation nor an invitation capable of acceptance. Product photographs, dimensions, materials, colours and packing data are indicative; goods supplied may differ in minor respects and such deviations are not a defect. Availability, minimum order quantities, prices, lead times and terms of sale are confirmed only in a written quotation or order confirmation issued by J HOMES, which prevails over anything shown on the Portal.

4. Selection lists

The Portal allows you to mark products and submit them to us as a selection list. A selection list is an expression of interest and a request for information or a quotation only. It is not an order, it does not reserve stock, and it places neither party under any obligation to buy or to supply. No contract of sale arises unless and until J HOMES issues a written quotation or order confirmation and you accept it in writing. We may respond to a selection list, ask for further information, or decline it, without giving reasons.

5. Intellectual property and image licence

All content on the Portal, including product photographs, product descriptions, catalogues, layout and design, is owned by J HOMES or its licensors and is protected by copyright and other intellectual property rights. You acknowledge that you are merely a licensee of that content and do not own, and will not claim, any ownership rights in it.

Subject to your compliance with these Terms, J HOMES grants you a limited, revocable, non-exclusive, non-transferable licence, with no right to sub-license, to download and use product images from the Portal solely (i) to evaluate our products within your business and (ii) to present, quote and promote J HOMES products to your own customers.

You may not sell, license, distribute or otherwise make the images available to any third party as images; use them in connection with any product not supplied by J HOMES, or alongside or in support of competing products; upload them to stock-image libraries or third-party marketplaces except where you are lawfully offering the J HOMES products themselves for sale; remove, obscure or alter any credit or copyright notice; or modify the images in a way that misrepresents the product. Any other use requires our prior written consent.

This licence ends automatically when your account ends or if you breach these Terms, and you must then cease using and delete the downloaded images, except copies you reasonably need for products you have already purchased from us. Any infringement of our intellectual property rights is a material breach and entitles J HOMES to withdraw your access, cancel unfulfilled orders and suspend future deliveries.

6. Prohibited conduct

You must not: access or search the Portal, or download its content, by means of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers or data-mining tools) other than a generally available web browser; copy, reproduce, mirror, frame or redistribute the Portal or any part of it; decipher, decompile, disassemble or reverse engineer any software used to provide the Portal; interfere with or circumvent any security or access-control mechanism; collect or store information relating to other users; share your login details with, or allow the Portal to be accessed by, any other person, including colleagues, agents or competitors; use the Portal on behalf of a business other than the one your account was approved for; or use the Portal or any information obtained from it to develop, source or market competing products.

7. Suspension and termination

You may close your account at any time by contacting us. J HOMES may suspend or close your account at any time, with or without cause and without prior notice, including where the information you gave is inaccurate, where the account is shared, where you breach these Terms, or where your business no longer meets our access criteria. Accounts that remain unused for twelve months may be closed. We may also interrupt access to the Portal for maintenance or operational reasons. On termination, the licences granted under section 5 end, and sections 5, 6, 8 and 10 continue to apply.

8. Disclaimer and limitation of liability

The Portal is provided on an "as is" and "as available" basis. J HOMES does not warrant that the Portal will be uninterrupted or error-free, or that product information will be complete or up to date, and we may change, withdraw or discontinue any part of it at any time. To the fullest extent permitted by law, J HOMES is not liable for any indirect or consequential loss, or for loss of profit, turnover, business, goodwill or data, arising from your use of, or inability to use, the Portal. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Privacy

We process the personal data you provide when you register and use the Portal in order to verify your business, operate your account and respond to your enquiries. Our Privacy policy explains what we collect, on what legal basis, how long we keep it and how you can exercise your rights. The Privacy policy forms part of these Terms.

10. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the People's Republic of China. Any dispute shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre under its rules in force at the time, seated in Hong Kong, with the proceedings conducted in English by a sole arbitrator. Nothing in this clause prevents J HOMES from seeking injunctive relief in any competent court to protect its intellectual property rights.

11. Changes and contact

We may amend these Terms at any time by posting an updated version on the Portal and updating the date above. Where a change is material we will notify account holders by email. Your continued use of the Portal after the effective date constitutes acceptance of the amended Terms; if you do not accept them, you must stop using the Portal and may close your account.
